Please read these Terms of Use (“Terms of Use”) carefully because by entering this site (“Site”), you, as a designated user (“User”), agree to be bound by them. If you do not agree with these Terms of Use, please discontinue your use of this Site.

Digia Hub is an online community facilitated by Digia Finland Oy, a subsidiary of Digia Plc (collectively “Digia”) (“Digia Hub”). The primary target of the Digia Hub is for Digia to collect and hold information of its current and potential subcontractors to ensure smooth and straightforward co-operation when Digia needs additional resources or expertise for its customer projects.

The User may use the Site to get information on the Digia Hub and provide information to be used by the Digia Hub.

The User may not copy or otherwise use any content or data from the Site. All content of this Site is owned, controlled or licensed by or to Digia.

The User may not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Site.

Digia and the User shall negotiate and sign separate written agreements on any work ordered and those additional terms form an integral part of the agreement between the User and Digia. To the extent those separate terms conflict or govern same topics as these Terms of Use the separate terms shall prevail.

The Digia Hub is of non-exclusive nature and shall not in any manner prevent or restrict Digia from acquiring any deliverables or services from other providers also outside the Digia Hub or from producing them internally, nor does it prevent or restrict the User of providing any deliverables or services to other companies.

Digia or the User shall have no minimum purchase, delivery or any other volume commitments under the Terms of Use. The User may at its sole discretion exit and Digia may at its sole discretion request the User to exit from the Digia Hub with immediate effect.

Your Account

To use the Digia Hub, the User must have and log in with a designated company-level Digia Hub account. By registering and using the Digia Hub, you undertake and ensure that you have the right to represent the company on which you provide information on in the Digia Hub. As part of the User’s Digia Hub registration, the User will be asked to provide Digia with certain details about the User’s company, including name, e-mail address, password and other business contact information (to the extent applicable). The User must provide complete, truthful and accurate information about itself and the company it represents.

The User’s Digia Hub account is for the User’s sole use only and cannot be shared or used by anyone else without Digia’s prior permission. The User has sole responsibility for maintaining the confidentiality of the login details, and the User is entirely responsible for any and all activities under the User’s Digia Hub account. The User must notify Digia immediately of any unauthorized use or any other breach of security involving the User’s account.

Content and Data Monitoring

Digia has the right to use, store and modify the information provided by the User though the Site as well as to share this information with its third party clients.

Digia has the right, but not the obligation, to monitor any activity associated with this Site. Digia may collect statistical data of the use of this for the sole purpose of developing the Digia Hub and associated or similar services.

Personal Data Protection and Processing

While we are excited to have an international community using the Digia Hub, by using the Digia Hub the User acknowledges and agrees that the personal data shall be processed according to the applicable Finnish laws and regulations and according to the Digia Privacy Notice (https://digia.com/en/company/data-privacy/). The User must also undertake to duly inform all relevant persons of and obtain all necessary consents or other legal basis required for including other persons’ personal details to the Digia Hub.

Act on Contractor Obligations

Should the User be governed by the Act on the Contractor’s Obligations and Liability when Work is Contracted Out (Tilaajavastuulaki), the User undertakes to provide and timely update all relevant information to Vastuu Group regarding contractor’s liability to evidence that the User has fulfilled the requirements of the applicable law.

For the sake of clarity, the relationship between Digia and the User will never form an employer/employee relationship and consequently Digia will not incur any employer’s or comparable liabilities or responsibilities vis-à-vis the User or its personnel.

Disclaimers

Digia shall not be liable for any inaccuracies in information provided by or to the User. Any usage of this Site shall be solely at the User’s risk.

Modification of Site Content and the Terms of Use

Digia may change, modify or withdraw access to the content of this Site at any time, with or without prior notice, and without creating liability for Digia.

If there are changes to the Terms of Use, Digia will update the Terms of Use and notify the User of such updates on the Site. By continuing to access or use the Site after the changes become affective, your use will be subject to the updated Terms of Use.

Confidentiality

Digia acknowledges that the Site may include certain information on the User or the company the User represents that should be considered confidential. The User also acknowledges that Digia may provide the Users with certain information relating to current and future projects including, but not limited to names and expertise of employees and consultants. Consequently, both parties agrees and undertakes to keep and hold any and all confidential information in strict confidence, not to disclose or divulge any confidential information to any third party, and to restrict the use of and access to the confidential information only to the personnel of the receiving party who needs to know such confidential information.

Applicable Law and Settling of disputes

The laws of Finland will govern the construction and interpretation of these Terms of Use. Any dispute, controversy or claim arising out of or relating to this Terms of Use, or the breach, termination or validity thereof, shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce.
